Legal filings and compliance expenses are lower

for LLPs than for private limited corporations.

Filing Process – Done Right with Filing Pro

We follow a structured and timely approach to ensure your LLP Registration is smooth and hassle-free.

Features of LLP Registration in India

How Filing Pro Helps You Register Your LLP

The LLP registration process starts with choosing a unique name for your business, which we help you verify and reserve through the RUN-LLP service on the MCA portal. Once the name is approved, we guide you in filing Form FiLLiP, which includes details such as the registered office address and designated partners.

Each partner needs a Digital Signature Certificate (DSC) and a Director Identification Number (DIN) or Designated Partner Identification Number (DPIN)

to complete the LLP registration. Filing Pro assists in obtaining these documents and ensures all forms are submitted accurately.

Post approval, we help you draft a legally compliant LLP Agreement—which defines the duties, roles, and profit-sharing among partners. Once all

formalities are complete, you receive your Certificate of Incorporation, officially recognizing your LLP.

After Filing – Stay Compliant, Stay Protected

Once your LLP is registered, Filing Pro continues to support your compliance needs:

• LLP Agreement Filing (Form 3): Must be submitted within 30 days of incorporation. We ensure timely drafting and submission.

•PAN & TAN Delivery: PAN and TAN are automatically issued with the incorporation certificate under new MCA rules.

• Ongoing Annual Filings: We help you manage your Form 8, Form 11, and income tax returns—on time, every year.

• Updates & Modifications: Any change in partners, business address, or agreement? We handle all ROC updates for you.

LLP Compliances in India

Stay compliant, stay worry-free with Filing Pro.

Once your Limited Liability Partnership (LLP) is registered, there are a few essential compliance requirements you must follow annually and from time to time to avoid penalties and ensure smooth business operations.

Mandatory LLP Compliances

Form 11 – Annual Return To be filed within 60 days of the close of the financial year (by 30th May). Contains basic details of the LLP, its partners, and capital contribution.

Form 8 – Statement of Accounts & Solvency Must be filed by 30th October each year. Contains financial information about the LLP's solvency as well as profit and loss.

Income Tax Return (ITR) LLPs must file their ITR by 31st July (if audit not required) or by 30th September (if audit is required).

Auditing Requirements LLPs are required to have their accounts audited if their capital contributions or turnover exceed ₹25 lakhs or ₹40 lakhs.

LLP Agreement Filing (Form 3) Must be filed within 30 days of incorporation. Any changes to the agreement must also be reported.

Event-Based Compliances Changes in partners, registered office, or business activity must be reported to the ROC using respective forms (Form 4, Form 15, etc.).

At Filing Pro, we ensure your LLP Registration is not only completed efficiently but also stays compliant year after year.

As per the LLP Act, 2008, every Limited Liability Partnership must file its annual returns and financial statements without fail. Failure to comply after LLP Registration can result in heavy penalties. If Form 8 (Statement of Accounts & Solvency) and Form 11 (Annual Return) are not filed on time, a penalty of ₹100 per day per form is imposed—with no maximum cap—leading to substantial fines if delayed.

Moreover, every LLP must file its Income Tax Return by 30th September annually. Missing this deadline leads to a penalty of ₹5,000, which increasesto ₹10,000 if not filed by 31st December.

Avoid unnecessary costs and legal hassles by managing your LLP Registration and compliance through Filing Pro. We help you complete the full process within 15 to 30 working days, subject to Registrar of Companies (ROC) clearance, and keep your LLP legally protected year-round.

Our process for LLP Registration

Step 1: Apply for DSC (Digital Signature Certificate) A DSC is mandatory for all designated partners to complete online filings. Don’t worry—Filing Pro helps you obtain it quickly through authorized certifying authorities.

Step 2: Get DPIN/DIN (Designated Partner ID) Once your DSC is ready, we apply for your DPIN/DIN through Form DIR-3. You’ll just need to provide a scanned PAN and Aadhaar card—we’ll take care of the rest.

Step 3: Reserve Your LLP Name We file the LLP-RUN (Reserve Unique Name) form with the MCA to reserve your

business name. Our experts help you choose a unique, compliant name to speed up approval.

Step 4: Prepare & Submit Incorporation Documents Our team drafts all required documents, including the LLP Agreement. We then file the FiLLiP (Form for Incorporation of LLP) along with PAN and TAN applications—all in one go.

Step 5: Get Certificate of Incorporation Once approved by the Ministry of Corporate Affairs, you’ll receive your LLP’s Incorporation Certificate. This confirms your LLP Registration and includes your LLP Identification Number (LLPIN).

Step 6: Apply for PAN, TAN & Open Bank Account We apply for your LLP’s PAN and TAN right after incorporation. Once you receive these, you can open a current bank account in the LLP’s name.

Step 7: File & Register LLP Agreement We submit the final LLP Agreement in Form 3 within 30 days of incorporation, as per MCA compliance. The responsibilities, tasks, and profit-sharing between partners are described in this document to complete your LLP Registration process.
